Terms of Service

1 Acceptance of terms

By creating an account, accessing, or using InfoNest, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using InfoNest on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 Description of service

InfoNest, Inc. provides a knowledge management platform that allows users to capture, organize, search, and share notes, files, and links ("Service"). We may add, change, or remove features from the Service at our discretion, and we will make reasonable efforts to notify users of material changes.

3 Eligibility and accounts

You must be at least 16 years old to create an InfoNest account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at the contact details in Section 16 if you suspect unauthorized access to your account.

4 Acceptable use

You agree not to misuse the Service. Prohibited conduct includes, without limitation:

• Uploading content that is unlawful, infringing, or violates the rights of others.
• Attempting to gain unauthorized access to another user's account, data, or workspace.
• Interfering with or disrupting the integrity or performance of the Service, including through excessive automated requests.
• Reverse engineering, decompiling, or attempting to extract the source code of the Service except as permitted by law.

5 Content ownership and license

You retain all ownership rights to the notes, files, and other content you upload or create within InfoNest ("Your Content"). By using the Service, you grant InfoNest a limited, non-exclusive license to host, store, index, and process Your Content solely for the purpose of operating and improving the Service on your behalf.

6 Subscription plans and billing

InfoNest offers free and paid subscription plans, described on our pricing page. Paid subscriptions renew automatically at the end of each billing period unless canceled beforehand. You authorize us to charge your chosen payment method for all applicable fees, plus any taxes required by law.

7 Cancellation and refunds

You may cancel a paid subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by law, fees already paid are non-refundable, including for partial billing periods.

8 Intellectual property

The Service, including its design, features, and underlying software, is owned by InfoNest, Inc. and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights or licenses are granted to you in the Service itself.

9 Third-party services

InfoNest may allow you to connect third-party services, such as cloud storage or calendar tools, to import or sync content. We are not responsible for the practices or availability of third-party services, and your use of them is governed by their own terms.

10 Disclaimers and warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11 Limitation of liability

To the maximum extent permitted by law, InfoNest, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

12 Indemnification

You agree to indemnify and hold InfoNest, Inc. harmless from any claims, damages, or expenses, including reasonable legal fees, arising from your violation of these Terms or your misuse of the Service.

13 Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, and will make reasonable efforts to notify you beforehand except where immediate action is necessary to protect the Service or other users.

14 Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

15 Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the effective date above; for material changes, we will provide additional notice through the product or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
